For What It’s Worth: How Long Do Valuations Last? – April 2016

Simple questions can have complex answers! A valuation lasts as long as:

  • The rules permit:
    • Accounting rules and tax laws may stipulate how long valuations are effective
    • Accounting rule changes and major Tax Court decisions may invalidate previous opinions
  • The parties to a deal agree:
    • Buy-sell agreements may require updates each year or when transactions occur
    • Even when a previous valuation holds, the parties may want a current one for assurance
  • The assumptions are appropriate:
    • Economic and industry conditions change
    • Company business and financial situations change
    • Owners’ personal desires and situations change
    • Capital market conditions change
    • Unforeseen material changes subsequent to the valuation date invalidate opinions
  • The parameters are consistent:
    • A tax valuation of a minority interest is not relevant to the sale of the entire business to a strategic acquirer because the standards of value, control and marketability characteristics of the minority and 100% interests differ
    • The company might be valued as a going concern at one time and as liquidated at another.
